Afentra PLC, the AIM-quoted oil and gas company focused on offshore Angola, said on 29 October 2026 that the executive decree needed for its Acquisition of further interests from Etu Energias S.A. has been published for Block 3/05A, clearing the way for completion in the coming weeks. The company is a constituent of the FTSE AIM All Share Index, and the update is the latest step in a deal it has been working through for most of the year.

What Afentra does

Afentra builds a portfolio of producing and development oil Assets in Africa, with Angola its current centre of gravity. Its interests are in Blocks 3/05 and 3/05A, offshore fields that already produce crude. As a non-operating partner it relies on others to run the fields day to day, while it focuses on Capital allocation, acquisitions and technical support. That model suits a smaller company, though it also means output and costs depend on decisions made by the operator.

The Etu acquisition

According to the 29 October announcement, the transaction adds 3.33% in Block 3/05 and 3.66% in Block 3/05A. Once complete, Afentra's stakes would rise to 33.33% in Block 3/05 and 24.99% in Block 3/05A. Net upfront consideration is $15.20 million, with up to $6.74 million of contingent payments linked to oil prices and production performance. The cash due at completion is expected to be lower than the upfront figure because of adjustments since the deal's effective date of 31 December 2023. An earlier update on the transaction appeared on 6 October 2026.

Half-year results and funding

In its half-year results, published on 15 September 2026 for the period to 30 June 2026, Afentra reported Revenue of $91.0 million from sales of about 1.0 million barrels of crude, at an average realised price of $91.3 per barrel. Net average production was 5,777 barrels of oil per day. Cash stood at $97.4 million and net cash at $28.4 million at the period end. The company also pointed to a $40 million Equity raise and completion of a $125 million prepayment Facility with Gunvor, which it said lowered its cost of capital. The results also noted an oil discovery at Pacassa SW in Block 3/05, with a sidetrack planned to address completion challenges.

Other recent filings include an operational update on 12 October 2026, a director dealing notice on 22 October and a notification of major holdings on 3 November. No Dividend information appeared in the announcements reviewed.

Sector and index context

Small and mid-sized oil producers on AIM tend to trade closely with crude prices, and Afentra's realised price of $91.3 per barrel in the first half illustrates how strongly Earnings can respond to the commodity. The FTSE AIM All Share Index spans a wide mix of resources, technology and services businesses, and energy names such as Afentra add Commodity exposure to a market otherwise dominated by growth and service companies.

Key risks

Several risks are worth noting. Completion of the Etu deal still depends on regulatory steps and final adjustments to the price. Production from a small number of offshore assets leaves the company exposed to operational interruptions and to the timing of cargoes. Oil price movements affect both revenue and the contingent consideration. The Pacassa SW sidetrack also carries drilling and execution risk, and Angolan fiscal and regulatory arrangements can change.

What to watch next

Investors will look for confirmation that the Etu transaction has completed, and for the final cash amount paid. Further operational updates should show how production is trending, and any news on the Pacassa SW sidetrack will be closely read. The next set of financial results will show how the larger stakes feed through to revenue and cash.
