Dealing disclosures as the Offer Period runs on
Advanced Medical Solutions, the Winsford-based maker of surgical adhesives, sutures and wound care products, remains in an offer period while H.B. (LSE:AMS) Fuller's recommended 285p-per-share cash Acquisition works through its final stages. Several Form 8.3 dealing disclosures were published on 3 November 2026, as is routine for holders of 1% or more during a takeover.
One of these, released by Octopus Investments at 12:40 on 3 November, showed that it sold 1,793,670 shares at £2.825 and a further 5,745 at £2.8275 on 2 November, leaving it with 12,388,798 shares, or 5.61%. (LSE:AMS) The form does not explain the reason for the sales. On our reading, it illustrates that some holders are choosing to exit in the market at a small discount to the Offer Price rather than wait for the cash consideration.
How far the scheme has already progressed
The deal, announced on 25 June 2026, is being implemented through a court-sanctioned scheme of arrangement. (LSE:AMS) The scheme document was published on 20 July. At the court meeting on 12 August, 84.23% of the scheme shares voted were cast in favour, representing 175 of the shareholders who voted. Against votes totalled 17,539,282 shares, or 15.77% of those cast, which is a sizeable minority but did not prevent the resolution passing the required 75% value test. The general meeting resolutions passed by the same percentage.
With those votes, the Shareholder approval conditions were satisfied. (LSE:AMS) What remains are the other conditions in the scheme document, including the regulatory conditions labelled 3(a) to 3(g), followed by the court sanction hearing and registration of the court order.
Regulatory conditions: what has been confirmed
In its interim results on 16 September, AMS reported that Austrian competition authorities had waived an in-depth investigation, the German Federal Cartel Office had cleared the deal unconditionally, a Waiting Period under another condition had expired, the UK Competition and Markets Authority had said it had no further questions at this stage, and an Austrian ministry had issued an unconditional clearance decision. Those updates cover conditions 3(a) to 3(e). The statement did not give an update on 3(f) and 3(g) in its outlook, and we have not reviewed the scheme document itself to identify what they cover.
At that point the company said the scheme was expected to become effective in the fourth quarter of 2026, narrowing the earlier guidance of the third or fourth quarter given after the shareholder meetings.
The Business being acquired
The same interim statement showed Revenue up 4% to £115.5m in the six months to 30 June 2026, with surgical sales of £91.4m and advanced woundcare of £24.1m. US LiquiBand revenue fell 15% against a period flattered by partner order phasing a year earlier. Adjusted EBITDA rose 8% to £26.3m, but reported profit before tax fell to £0.3m after £12.4m of costs tied to a site consolidation programme and the acquisition. Net Debt rose to £60.3m and no Interim Dividend was declared, compared with 0.85p a year earlier.
Why the spread matters, and the risks
The LSE delayed price for the 3 November session, captured shortly after midnight on 4 November, was 282.5p. Our calculation puts that 2.5p, or roughly 0.9%, below the offer price. A narrow gap typically reflects the market's view of timing and completion risk, though we cannot attribute it to any specific factor. Outstanding conditions, the court hearing and any timetable slippage are the main dependencies. If the deal did not complete, the shares would no longer be anchored to the 285p cash value.
Next steps
AMS has said it will announce any changes to the expected timetable through a regulatory information service. Further milestones to watch are confirmation of the remaining conditions, the date of the court sanction hearing and the subsequent cancellation of the AIM listing on completion.
