For almost three weeks, one date in Dianomi's Takeover timetable was simply a letter. At 14:20 on Monday 2 November 2026, Dianomi (LSE:DNM) filled in the blanks, publishing an updated scheme timetable for its Acquisition by Taboola Europe Limited, a Wholly Owned Subsidiary of Nasdaq-listed Taboola.com Ltd. The new schedule puts a court hearing on 12 November, sets 16 November as the expected effective date and gives shareholders a clear countdown to the end of the company's life on AIM.
Dianomi updated scheme timetable: the key dates
Proxy deadlines remain 2.00pm and 2.15pm on 4 November 2026 for the Scheme Court Meeting and General Meeting respectively. Both meetings are scheduled for 6 November, at 2.00pm and 2.15pm.
The Scheme Court Hearing is now set for 12 November. The scheme is expected to become effective on 16 November, with dealings in Dianomi shares suspended from 7.30am that day. Cancellation of admission to trading on AIM is expected at 7.00am on 17 November. Cash consideration and contingent consideration units are due to be despatched by 30 November, and the longstop date remains 31 December 2026.
Why the timetable update matters
When Dianomi published its scheme document on 14 October, the court hearing was shown only as date "D", to be fixed once the deal conditions had been satisfied or waived. The document said an update was expected once all regulatory clearances were obtained. Every later step, from the last day of dealings to delisting, was expressed as a number of Business days after D.
Those conditions include a CMA Condition, under which the Competition and Markets Authority must indicate it has no further questions or decide not to refer the deal for a Phase 2 investigation. Taboola described this condition as of "material significance". Regulatory scrutiny is familiar territory for the bidder: in 2020, Taboola abandoned its proposed purchase of Outbrain during an in-depth Phase 2 CMA investigation.
Taboola offer terms for Dianomi shareholders
The acquisition was announced on 18 September 2026. Shareholders are offered 64p in cash per share, plus one contingent consideration unit that may pay up to 24p, giving a maximum of 88p per share. The units may pay nothing.
The cash element values Dianomi at about £19m on a fully diluted basis, rising to as much as about £27m if the units pay in full. The cash price represented a premium of about 68% to the 38.0p closing price before the announcement. Rupert Hodson, co-founder and chief executive of Dianomi, said the deal creates a platform for the future of the business.
Open points before completion
The timetable is indicative. The scheme still needs a majority in number of scheme shareholders voting, representing at least 75% in value of the shares voted at the Court Meeting, approval of the resolution at the General Meeting and sanction by the court.
Irrevocable undertakings covered about 75.3% of shares when the deal was announced, including about 10.44% held by directors. The contingent consideration units also leave part of the headline value uncertain.
What investors may watch next on AIM
The 6 November meeting results are the next marker, followed by the 12 November court hearing. Under the scheme document's convention, the last day of dealings falls one business day after the hearing, which points to Friday 13 November.
For followers of UK shares and AIM stocks, the update turns an open-ended schedule into a fixed sequence, with 16 November the date on which Dianomi is expected to pass into Taboola's ownership and leave the London Stock Exchange.
